Terms of Service

The terms and conditions governing your use of Digiway's payment aggregation, payment gateway, and payout services.

Effective Date: 1 January 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern Your access to and use of the payment aggregation, payment gateway, and payout services (collectively, the "Services") provided by Digiway Payment Pvt Ltd ("Digiway", "We", "Us", or "Our"). By registering for, accessing, or using the Services, You ("Merchant", "You", or "Your") agree to be bound by these Terms and Our Privacy Policy, which is incorporated herein by reference. If You do not agree, You must not use the Services.

2. Definitions

  • "Payment Aggregator/Gateway Services" means the facility that enables Merchants to accept payments from Customers via UPI, cards, net banking, wallets, and other instruments.
  • "Payout Services" means the facility that enables Merchants to disburse funds to beneficiaries via IMPS, NEFT, RTGS, or UPI.
  • "Customer" means an end-user who makes a payment to a Merchant through the Services.
  • "KYC" means the Know Your Customer verification process conducted in accordance with the RBI Master Direction on KYC and the Guidelines on Regulation of Payment Aggregators and Payment Gateways.
  • "Settlement" means the transfer of collected funds, net of applicable fees, to the Merchant's designated bank account.
  • "RBI" means the Reserve Bank of India, and "NPCI" means the National Payments Corporation of India.

3. Eligibility & Merchant Onboarding

To use the Services, You must be a legally registered business entity or individual capable of entering into a binding contract under Indian law, and must not be engaged in any Prohibited or Restricted Business (Section 7). Onboarding is subject to Our KYC and AML verification process, including verification of PAN, GSTIN, CIN, bank account details, and beneficial ownership, as mandated by the RBI and the Prevention of Money Laundering Act, 2002. We reserve the right to reject, suspend, or seek additional information at any stage of onboarding.

4. Description of Services

Digiway provides technology infrastructure to accept payments on Your behalf as a Payment Aggregator (Pay-In) and/or to disburse payouts to beneficiaries (Pay-Out), in each case through Our banking and card network partners. Digiway acts as an intermediary facilitating the transaction and settlement process and is not a party to the underlying transaction between You and Your Customer.

5. Merchant Obligations

  • Provide accurate, complete, and updated business and KYC information at all times.
  • Integrate the Services in accordance with Our technical documentation and security requirements.
  • Maintain a valid, functioning website or application with clearly stated refund, shipping, and contact policies.
  • Not store, log, or transmit full card numbers, CVV, or other sensitive card data in violation of PCI DSS or RBI tokenisation norms.
  • Promptly notify Us of any suspected fraud, security breach, or unauthorised transaction.

6. Fees, Charges & Settlement Cycle

Applicable fees, transaction discount rates, payout charges, and settlement cycles (e.g. T+1, T+2, or instant settlement where available) are as set out in Your Merchant Agreement or pricing schedule. We may deduct applicable fees, taxes, refunds, and chargebacks from settlement amounts before transferring the net amount to Your designated bank account. Fees are subject to revision with prior notice.

7. Prohibited & Restricted Businesses

You may not use the Services for any business or activity prohibited under applicable law or Our Restricted Business List, including but not limited to unlicensed gambling or betting, money laundering, pyramid or Ponzi schemes, sale of counterfeit goods, illegal drugs, weapons, or any activity violating RBI, SEBI, or other regulatory directions. We reserve the right to immediately suspend Services on discovery of a violation.

8. Refunds & Chargebacks

You are responsible for processing refunds to Customers in accordance with Your stated refund policy, initiated through Your Digiway dashboard or API. In the event of a chargeback, dispute, or reversal raised by a Customer's issuing bank or card network, You authorise Us to debit the disputed amount from Your available balance or settlement, pending resolution of the dispute in accordance with the applicable card network or NPCI rules.

9. Data Protection & Security Obligations

Each party shall implement reasonable administrative, technical, and physical safeguards to protect Customer and transaction data in accordance with applicable law, including PCI DSS standards and RBI data localisation and card tokenisation directions. You shall not share API keys, webhook secrets, or access credentials with unauthorised third parties.

10. Suspension & Termination

We may suspend or terminate Your access to the Services, with or without notice, in the event of a breach of these Terms, suspected fraud, regulatory direction, or risk to Our Platform, Customers, or banking partners. You may terminate Your account at any time by providing written notice, subject to settlement of any outstanding dues, disputes, or chargebacks.

11. Limitation of Liability

To the maximum extent permitted by law, Digiway's aggregate liability arising out of or in connection with the Services shall not exceed the fees paid by You to Us in the three (3) months preceding the event giving rise to the claim. We shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or business opportunity.

12. Indemnification

You agree to indemnify and hold Digiway, its directors, employees, and affiliates harmless from any claims, losses, or liabilities arising from Your breach of these Terms, violation of applicable law, or any dispute between You and Your Customers.

13. Regulatory Compliance

The Services are provided in accordance with the Payment and Settlement Systems Act, 2007, RBI's Guidelines on Regulation of Payment Aggregators and Payment Gateways, the Prevention of Money Laundering Act, 2002, and other directions issued by the RBI or NPCI from time to time. In the event of any conflict between these Terms and applicable regulatory directions, the regulatory directions shall prevail.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation, failing which it shall be resolved through arbitration under the Arbitration and Conciliation Act, 1996, seated in India, with the courts at Gurugram, Haryana having exclusive jurisdiction over any matters not subject to arbitration.

15. Amendments to these Terms

We may revise these Terms from time to time to reflect changes in Our Services, legal requirements, or business practices. Material changes will be communicated via email or dashboard notification. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
