These Terms form a binding agreement between Digiway Payment Pvt Ltd (“Digiway”, “we”, “us”) and the business entity (“Merchant”, “you”) using our services. These Terms apply from the moment you create an account, integrate APIs, or accept payments through Digiway.
To use Digiway, you must be a legally registered Indian business entity such as a private limited company, LLP, partnership, sole proprietorship, trust, or society. You must have authority to bind the entity, be at least 18 years old, operate a non-prohibited business, and maintain a valid Indian bank account in your business name.
Sandbox environment kisi bhi user ke liye available hai, lekin live transactions ke liye KYC verification required hota hai. Agar aap in Terms ko accept nahi karte, to services use na karein.
Aap Digiway account signup ke through create karte hain. Sandbox keys turant mil jati hain, lekin live keys KYC complete hone ke baad hi milti hain.
KYC ke liye aapko business PAN, GST certificate (ya exemption proof), incorporation documents, address proof, aur authorized signatories ke documents submit karne hote hain. Aapko ensure karna hoga ki di gayi information accurate aur updated ho.
Agar koi major change hota hai (director change, address change, bank account change), to 7 din ke andar update karna mandatory hai. API keys aur passwords ki security aapki responsibility hai.
Digiway ek Technology & Connectivity Service provider hai jo RBI guidelines ke under operate karta hai. Hum customer funds hold nahi karte, balki payments ko process aur route karte hain.
Services me payment gateway (UPI, cards, net banking, wallets, EMI, BNPL), payout APIs, merchant dashboard, developer tools, aur compliance reporting tools shamil hain.
Digiway apni services me changes kar sakta hai, aur major changes ke liye prior notice diya jata hai.
Transaction fees pricing page ya agreement ke according hoti hain aur settlement ke time deduct hoti hain.
Settlement plans ke hisab se hota hai: Startup plan me T+1, Growth aur Enterprise me T+0. “T” ka matlab working day hota hai.
Kuch cases me rolling reserves apply ho sakte hain, jo chargebacks aur disputes ke against protection ke liye hold kiye jate hain. GST applicable hai aur invoice me clearly mention hota hai.
Agar kisi fee ya settlement par dispute ho, to 30 din ke andar raise karna hota hai.
Merchant ko wahi products/services sell karne chahiye jo onboarding ke time declare kiye gaye hain. Website par clear refund policy, shipping policy aur contact details show karna zaroori hai.
Merchant ko timely delivery aur customer support ensure karna hoga. Risk reviews me cooperation dena hoga aur legal compliance maintain karna hoga.
Digiway ka use illegal ya restricted activities ke liye nahi kiya ja sakta, jaise unlawful gambling, drugs, weapons, counterfeit goods, Ponzi schemes, unauthorized crypto services, adult services, ya RBI restricted activities.
Misrepresentation, self-financing, fraud, ya AML violations strictly prohibited hain. Aise cases me account suspend ya terminate ho sakta hai.
Digiway ke saare software, branding, aur tools unki intellectual property hain. Merchant ko limited license milta hai sirf apne business use ke liye.
Merchant apne content aur data ka owner rehta hai, lekin Digiway ko processing ke liye limited permission deta hai.
Dono parties ek dusre ki confidential information ko secure rakhenge aur sirf agreed purpose ke liye use karenge. Confidential information ko unauthorized access se protect karna mandatory hai.
Termination ke baad bhi confidentiality obligations valid rehte hain.
Digiway uptime maintain karta hai (99.9% se 99.99% depending on plan). Scheduled maintenance ke liye advance notice diya jata hai.
Force majeure situations (natural disasters, bank outages, etc.) me Digiway liable nahi hota.
Digiway ki total liability limited hoti hai — ya to last 12 months ke fees tak ya ₹50,00,000 tak (jo bhi kam ho).
Indirect losses (profit loss, data loss, etc.) ke liye Digiway responsible nahi hota, except kuch specific cases jaise fraud ya IP violation.
Merchant Digiway ko indemnify karega agar koi claim arise hota hai due to merchant’s business, customer disputes, ya legal violations.
Digiway bhi merchant ko indemnify karega agar unki services IP rights violate kare.
Merchant kabhi bhi account close kar sakta hai. Digiway bhi account suspend ya terminate kar sakta hai agar Terms violation, fraud, high chargebacks, ya regulatory issues ho.
Termination ke baad funds hold kiye ja sakte hain (up to 180 days) chargebacks ya disputes ke liye.
Ye Terms India ke laws ke under governed hain. Disputes pehle negotiation, phir mediation, aur finally arbitration (New Delhi) ke through resolve honge.
Court jurisdiction New Delhi rahega.
Ye Terms poora agreement represent karte hain aur time-to-time update ho sakte hain. Updates ka notification diya jata hai aur continued use acceptance maana jata hai.
Assignment, severability, waiver, aur notices ke standard legal clauses bhi applicable hain.
